01Acceptance of terms

These Terms of Service (the "Terms") govern your use of the website at midpointsoftware.org (the "Site") operated by Midpoint Accounting Group Co. ("Midpoint," "we," "us," or "our"), and form the baseline understanding for prospective clients evaluating our custom-software services (the "Services"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Note: Specific engagements for custom-software development are governed by a separate written agreement (a Statement of Work or Master Services Agreement) signed by both parties. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement controls.

02Description of services

Midpoint provides custom-software design, development, and deployment services, including but not limited to:

Specific deliverables, timelines, and scope are defined in the Statement of Work for each engagement. The Site itself is informational and does not, by itself, create a client relationship.

03Engagements and fees

If you engage Midpoint for Services, the terms of that engagement — including scope, timeline, payment terms, and acceptance criteria — will be set out in a separate written agreement. Until such an agreement is signed by both parties, no Services have been engaged and no fees are owed.

Fees, payment schedules, and refund policies are defined in each engagement agreement. Late payments may accrue interest as specified in that agreement and applicable law.

05Intellectual property

Site content

All content on the Site — including text, graphics, logos, images, code, and design — is owned by Midpoint or its licensors and is protected by copyright, trademark, and other laws. You may view and share the Site for personal and non-commercial purposes only. Any other use requires our prior written permission.

Client deliverables

Subject to full payment of all fees and the terms of the applicable engagement agreement, Midpoint generally transfers ownership of custom code and deliverables to the client upon final delivery and payment. Midpoint retains ownership of pre-existing tools, libraries, frameworks, and general know-how used in the course of producing deliverables, and grants the client a license to use these as embedded in the deliverables.

Trademarks

"Midpoint," "Midpoint Group," "Midpoint Accounting Group Co.," and our logos are trademarks of Midpoint. Other product and company names mentioned on the Site may be the trademarks of their respective owners.

06Confidentiality

Information that either party identifies as confidential, or that a reasonable person would understand to be confidential, must be kept confidential. Each party will use the other's confidential information only for the purpose of performing under these Terms or an engagement agreement, and will protect it with at least the same degree of care it uses for its own confidential information (and in no case less than reasonable care).

07Warranties and disclaimers

The Site is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Midpoint disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

Warranties applicable to deliverables and Services rendered under a signed engagement agreement are set out in that agreement, not here.

08Limitation of liability

To the fullest extent permitted by law, in no event will Midpoint, its officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to the Site is limited to one hundred dollars (US$100). Liability for Services rendered under an engagement agreement is governed by the limitation provisions in that agreement.

09Indemnification

You agree to defend, indemnify, and hold harmless Midpoint and its officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of another person or entity.

10Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive.

11Third-party links and services

The Site may include links to third-party websites or products we have built for clients. We are not responsible for the content, accuracy, or practices of those third-party sites. Linking to a third-party site does not imply endorsement.

12Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of state and federal courts located in Virginia for any dispute arising out of or relating to these Terms or the Site, and waive any objection to venue.

Replace if needed. If you intend to require arbitration, opt into the AAA Commercial Rules, or carve out small-claims court, an attorney should add the appropriate clauses here.

13Changes to terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date at the top and, where appropriate, provide notice on the Site. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
